Sturgis Ride-to-Win Challenge Promotion Rules
EP SO Sturgis SD LLC (d/b/a Sturgis Harley-Davidson) (“Sponsor”) is pleased to offer the Sturgis Edition Ride-to-Win Challenge Promotion (“Promotion”). In order to participate in the Promotion, you must agree to these terms and conditions (“Rules”).
PLEASE CAREFULLY READ THE RULES BEFORE PARTICIPATING IN THE PROMOTION. THE RULES CONTAIN IMPORTANT PROVISIONS ABOUT THE PROMOTION AND SPONSOR’S OBLIGATIONS WITH RESPECT TO THE PROMOTION. BY PARTICIPATING IN THE PROMOTION, YOU ACCEPT THESE TERMS IN FULL. IF YOU DO NOT ACCEPT THESE TERMS, DO NOT PARTICIPATE IN THE PROMOTION.

Promotion Rules.
How to Enter. The promotion runs from August 1, 2025 to August 10, 2025 (the “Promotion Period”). In order to enter the Promotion, you must register in-person at one of the locations listed below (each an “Entry Location”) during normal operating hours within the Promotion Period:
How the Winners will be Selected. Within seven days after the end of the Promotion Period, Sponsor will randomly select a “Winner” from the pool of all entries. Sponsor will contact the Winner using the contact information provided in the winning submission and confirm that the Winner wishes to accept the Prize pursuant to the Prize acceptance terms. If the Winner fails to respond to Sponsor promptly after being contacted (but, in any case, by 5:00pm MDT on the day that the Winner is contacted by Sponsor), proves to be ineligible under these Rules, or opts not to accept the Prize pursuant to the Prize acceptance terms (which may include an affidavit of eligibility, liability/publicity release, and appropriate tax-related documents), Sponsor will select an alternative Winner from the pool of entries until it finds a responsive, qualifying Winner who accepts the Prize pursuant to the Prize acceptance terms.
Prizes. The Winner will receive, upon confirmation of eligibility, a 2025 Harley-Davidson Sturgis Edition Low Rider S motorcycle (“Prize”). The approximate retail value is $26,579. The Prize may not be exchanged, assigned, or substituted, except that (a) Sponsor reserves the right, at its sole discretion, to substitute a prize of equal or greater value if the advertised motorcycle becomes unavailable, or (b) Winner may elect to apply the value of the Prize ($26,579) as a credit against the purchase of a different bike at Sturgis Harley-Davidson or Black Hills Harley-Davidson. The Winner will be responsible for promptly (but, in any case, within seven (7) days), determining whether to take the Prize or use the value as a credit. If Winner takes the Prize, Winner is responsible for promptly (but in any event within 72 hours) (i) collecting the Prize at the Sturgis Location during the Sturgis Location’s normal business hours (subject to any restrictions or requirements set forth in Sponsor’s notification to the Winner), or (ii) arranging for the delivery of the Prize to the Winner’s preferred address, at Winner’s expense. Sponsor will not be responsible for arranging any shipping or delivery or paying any shipping or delivery costs.
Sponsor. Sponsor’s principal place of business is the Sturgis Location, located at 1040 Junction Ave, Sturgis, SD 57785. Mighty Loud Enterprises (“Mighty Loud”) is operating the promotion on behalf of Sponsor. When you enter the Promotion, you are submitting an entry to Sponsor and Mighty Loud and not to any other person or entity. All information you provide in connection with the Promotion will be stored, processed, and used in accordance with Sponsor’s privacy policy available at https://www.sturgishd.com/read-our-privacy-statement--xprivacy and Mighty Loud’s privacy policy available at https://www.mightyloud.com/privacy-policy.
Eligibility. The Promotion is open to natural persons who at the time they enter (a) are 18 years of age or older, (b) are legal residents of the United States of America, except for residents of Florida, Hawaii, New York, or Rhode Island, who may not participate in the Promotion, and (c) have a valid driver’s license in the relevant class or category required to operate a two-wheeled motorcycle. Each eligible person who submits an entry into the Promotion shall be referred to herein as an “Entrant.” Directors, officers, employees, contractors, and agents of Sponsor and its affiliates and members of their immediate families (spouses, parents, siblings, and children) are not eligible to enter or win. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes an Entrant’s full and unconditional agreement to the Rules. Sponsor’s decisions relating to the Promotion are final and binding in all matters relating to the Promotion.
Timing. Only entries received during the Promotion Period will be accepted. Sponsor’s is solely responsible for and may alter its operating hours at any time. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted, or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human, or electronic. Proof of submission will not be deemed to be proof of receipt by Sponsor.
Prizes. Winning the Prize is contingent upon your fulfilling all the requirements in the Rules and agreeing to the prize acceptance terms. The odds of winning depend on the number of the entries submitted. Failure to claim the Prize by the time or in the manner specified in that notification will invalidate any claim to the Prize. The Prize is not transferable. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRIZE IS PROVIDED “AS IS” AND IS NOT EXCHANGEABLE FOR FAIR MARKET VALUE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPONSOR DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE PRIZE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. The Winners will be solely responsible for (a) all applicable taxes, fees, and surcharges associated with receipt and/or use of the Prize, (b) any other legal requirements related to Winner’s taking ownership of the Prize (including, but not limited to, vehicle registration, insurance, and completing all tax documents) and (c) all travel, catering, incidental, and other expenses. Winner must provide proof of insurance at the time of taking delivery. Winner will receive an IRS Form 1099-NEC for the actual value of the prize and must provide a valid Social Security number as a condition of award.
Publicity. Except where prohibited, all Entrants agree to allow Sponsor to use their names, photographs, likenesses, voices, prize information, and biographical information for publicity and promotional purposes without further compensation in the event the Entrant is a Winner. After the Winner has been selected and confirmed, Sponsor may announce the Winner on its website, Facebook, X, Instagram, and other social media accounts, or through other media, as it determines in its sole discretion.
Disputes. The Promotion and these Rules are governed by the laws of the State of South Dakota, without reference to any applicable choice of law provisions. All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely within Meade County, South Dakota. By entering the Promotion, Entrants consent to the exclusive jurisdiction of the courts of South Dakota and the federal courts located within South Dakota with respect to any action, dispute, or other matter pertaining to or arising out of the Promotion. Entrants agree that (a) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred by them, including costs associated with entering this Promotion, but in no event attorneys' fees, (b) under no circumstances will Entrants be permitted to obtain awards for, and Entrants hereby waive all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased, and (c) Sponsor’s maximum aggregate liability to any Entrant or Winner shall not exceed $200. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
General Rules. Any failure by an Entrant to comply with any of these Rules may result in disqualification from the Promotion. Sponsor has the sole and absolute discretion to disqualify any Entrant. Each Entrant agrees that Sponsor’s decisions regarding any Promotion are final and non-appealable. Sponsor is not responsible for any typographical errors in these Rules or in any other communication surrounding the Promotion or for any technical malfunction or error relating to the Promotion. Sponsor reserves the right to amend or interpret the Rules at any time, upon published notice to participants on its website or within any relevant social media page. ENTRANTS AGREE TO RELEASE, INDEMNIFY, AND HOLD HARMLESS SPONSOR, SPONSOR’S AFFILIATES, MIGHTY LOUD ENTERPRISES INC., AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS FROM ANY AND ALL LIABILITY, INCLUDING ANY INJURIES, LOSSES, OR DAMAGES (COMPENSATORY, DIRECT, INCIDENTAL, CONSEQUENTIAL, OR OTHERWISE), ARISING OUT OF THEIR PARTICIPATION IN THE PROMOTION. In the event the Promotion cannot be run as planned for reasons beyond Sponsor’s reasonable control (including, but not limited to, pandemic-related restrictions, civil disorder, acts of God), Sponsor may cancel or modify the Promotion and will, if feasible, award the prize in a random drawing from among all eligible, non-suspect entries received prior to cancellation. Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion.
